1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Market Pulse AI ("we," "us," or "our") concerning your access to and use of https://marketpulseai.us, our web applications, mobile applications, downloadable calendar files, and WebCal (.ics) data feeds (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Financial Disclaimer. If you do not agree, you must immediately discontinue use of the Service.

2. Eligibility & User Accounts

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to access or use the Service. By registering an account via Google Sign-In or Sign in with Apple, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your authenticated user ID.
• Notify us immediately of any unauthorized access or security breach.

3. Intellectual Property Rights & Limited License

Unless otherwise indicated, the Service, including its proprietary architecture, calendar compilation engine, source code, visual branding, user interface, graphic designs, icons, algorithms, and documentation, are the exclusive property of Market Pulse AI and are protected by United States and international copyright, trademark, and intellectual property laws.

Limited Personal License: Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access the Service and subscribe to .ics calendar feeds solely for your personal, non-commercial tracking and portfolio management.

4. Prohibited Uses & Fair Access

You agree not to engage in any of the following prohibited activities:

• Automated Scraping & Harvesting: Using scrapers, crawlers, data mining tools, or automated scripts to harvest raw market datasets or corporate lists without written authorization.
• Commercial Resale: Sublicensing, renting, leasing, selling, or distributing our generated .ics feed URLs, curated preset packs, or databases to third parties for commercial gain.
• Denial of Service & Abuse: Overloading, flooding, spamming, or launching denial-of-service attacks against our feed endpoints or cloud hosting infrastructure.
• Circumvention: Bypassing or attempting to bypass rate limits, authentication gates, or security controls.
• Unlawful Activity: Using data obtained through the Service to engage in market manipulation, insider trading, or any activity that violates U.S. federal securities laws.

5. Calendar Feeds & WebCal Subscriptions

Our Service generates custom iCalendar (.ics) URLs designed for client applications such as Apple Calendar, Google Calendar, and Microsoft Outlook. You acknowledge and agree that:

• Feed URLs are provided for personal synchronization. We reserve the right to throttle, rate-limit, or invalidate feed URLs that exhibit abnormal bandwidth consumption.
• The frequency of background refresh cycles is controlled exclusively by your calendar software or client device settings (e.g. hourly or daily). We do not control when your local client initiates a pull request.
• Corporate reporting schedules are dynamic and subject to sudden changes by reporting companies. Feed updates reflect the latest available data at the time of synchronization.

6. Disclaimer of Warranties ("AS IS")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKET PULSE AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, OR ERROR-FREE.
• WARRANTIES THAT EARNINGS REPORT DATES, CONSENSUS FORECASTS, OR MACROECONOMIC RELEASES WILL OCCUR AS LISTED.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL MARKET PULSE AI, ITS FOUNDERS, OPERATORS, AFFILIATES, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

• ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
• ANY FINANCIAL LOSSES, TRADING LOSSES, CAPITAL LOSSES, LOSS OF ANTICIPATED PROFITS, OR INVESTMENT DAMAGE.
• ANY LOSS OF DATA, GOODWILL, DEVICE MALFUNCTION, OR CALENDAR SYNC ERRORS.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE AND CANCEL YOUR CALENDAR SUBSCRIPTIONS.

8. Indemnification

You agree to defend, indemnify, and hold harmless Market Pulse AI, its owners, operators, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right or applicable securities regulation.

9. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to any choice or conflict of law provision. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States.

10. Modifications to Terms

We reserve the right to revise or modify these Terms at any time. When updates occur, we will update the "Last Updated" date at the top of this document. Continued use of the Service following posted modifications constitutes your acceptance of the updated Terms.
